1. INTRODUCTION

These Terms and Conditions ("Terms", "Terms and Conditions" or "Agreement") govern the relationship between MadeToWear Fabrics and Styles Ltd. ("MadeToWear", "we", "us", "our" or "the Company") and any person who purchases, orders, uses or otherwise obtains our products or services ("Customer", "you" or "your").

MadeToWear Fabrics and Styles Ltd. is a fashion and textile business engaged in the sale of fabrics, fashion items, ready-to-wear clothing, bespoke clothing, tailoring services, alterations, styling services and other related fashion products and services.

By placing an order, making a payment, requesting a service, visiting our premises for a transaction, communicating with us through our website or social-media platforms, or otherwise purchasing our products or services, you acknowledge that you have read, understood and agreed to these Terms and Conditions, subject to applicable law.

Where a specific written agreement, quotation, invoice or order confirmation contains terms that expressly differ from these Terms, the specific written terms applicable to that transaction shall prevail to the extent of the inconsistency.

2. DEFINITIONS

For purposes of these Terms:

"Business Day" means a day other than a Saturday, Sunday or public holiday in Nigeria.

"Customer" means any individual, business, organisation or other person purchasing or requesting our products or services.

"Custom Order" means a garment or fashion item made specifically according to a customer's measurements, specifications, design, fabric selection or other personal requirements.

"Ready-to-Wear" means completed garments or fashion products manufactured and offered for sale in predetermined sizes, colours, designs or specifications.

"Fabric" means textile materials, cloth, lace, Ankara, aso-oke, silk, cotton, linen, denim, wool, synthetic materials or other textile products sold by the Company.

"Order" means a request by a customer to purchase products or services from the Company.

"Order Confirmation" means written or electronic confirmation issued by the Company confirming acceptance of an order.

"Deposit" means an advance payment made towards a product or service.

"Working Day" means a day on which the Company is ordinarily open for business.

3. ACCEPTANCE OF ORDERS

3.1. An order placed by a Customer constitutes an offer to purchase the selected product or service.

3.2. An order shall only become binding on the Company when:

  • the Company accepts the order;
  • the required payment or deposit has been received, where applicable; and
  • the Company has issued an order confirmation, receipt, invoice or other written confirmation.

3.3. The Company reserves the right to decline or cancel an order where:

  • the requested product is unavailable;
  • the requested fabric or material is unavailable;
  • there is an obvious pricing or description error;
  • the Customer has provided incomplete or inaccurate information;
  • the Customer has failed to make the required payment;
  • production of the requested item is impracticable;
  • circumstances outside the Company's reasonable control prevent fulfilment; or
  • the transaction would otherwise breach applicable law.

3.4. Where the Company cancels an order after receiving payment and the cancellation is not attributable to the Customer, any refund due shall be processed in accordance with the Company's refund policy and applicable law.

4. PRODUCT DESCRIPTIONS AND COLOURS

4.1. We endeavour to ensure that all descriptions, photographs, colours, measurements and product information are accurate.

4.2. However, colours displayed on mobile phones, computer monitors, tablets or other electronic devices may differ slightly from the actual colour of a fabric or garment.

4.3. Minor variations in fabric texture, print placement, dye shade, weave, pattern alignment or finish may occur, particularly with handmade, dyed, printed or naturally produced fabrics.

4.4. Such reasonable variations shall not automatically constitute a defect.

4.5. Customers who require an exact shade, pattern or fabric specification are encouraged to request a physical sample before placing a substantial order.

5. FABRIC SALES

5.1. Fabrics are sold according to the measurement or unit specified at the time of purchase.

5.2. Customers are responsible for confirming the required quantity before purchase, particularly where the fabric is intended for a particular garment or design.

5.3. Once fabric has been cut to the Customer's requested measurement or otherwise altered at the Customer's instruction, it may not be eligible for return or exchange except where required by applicable law or where the Company supplied defective or materially incorrect goods.

5.4. Customers should inspect fabric promptly after collection or delivery and notify the Company of any apparent defect or discrepancy within a reasonable period.

5.5. Where a defect is attributable to the Company, the Company will consider an appropriate remedy, which may include repair, replacement, exchange or refund, subject to applicable law.

6. READY-TO-WEAR PRODUCTS

6.1. Ready-to-wear garments are sold in the sizes and specifications stated on the relevant product listing, invoice or order confirmation.

6.2. Customers are responsible for selecting the appropriate size.

6.3. Customers are encouraged to consult our size guide or contact our customer-service team where they are uncertain about sizing.

6.4. Minor variations between individual garments may occur due to manufacturing and fabric characteristics.

6.5. Products should be inspected upon receipt and any issue should be reported promptly.

7. BESPOKE AND CUSTOM-MADE ORDERS

7.1. Custom-made garments are produced according to information, measurements, designs, specifications and instructions supplied or approved by the Customer.

7.2. The Customer is responsible for ensuring that:

  • measurements supplied are accurate;
  • design instructions are complete;
  • fabric choices are correct;
  • colour selections are correct;
  • embroidery, embellishment and other specifications are correctly communicated; and
  • all personal preferences have been communicated before production begins.

7.3. Where measurements are taken by the Company, the Company will use reasonable care in taking and recording the measurements.

7.4. Customers should understand that garment fit may also be affected by posture, body proportions, fabric characteristics, design choices and intended style.

7.5. A reasonable amount of fitting or alteration may therefore be required for certain bespoke garments.

7.6. Once production of a custom garment has commenced, changes requested by the Customer may result in additional charges and may affect the agreed completion date.

7.7. Where a Customer changes the design, fabric, measurements or specifications after production has commenced, the Company may charge for additional materials, labour or alterations reasonably required as a result of the change.

8. CUSTOMER MEASUREMENTS

8.1. Where the Customer provides their own measurements, the Customer accepts responsibility for their accuracy.

8.2. The Company shall not be responsible for fitting problems resulting solely from inaccurate measurements supplied by the Customer.

8.3. Where the Company identifies an apparent inconsistency in measurements, we may contact the Customer for clarification before proceeding.

8.4. The Customer should provide updated measurements where there has been a significant change in body size before production begins.

9. ALTERATIONS AND FITTING

9.1. Minor alterations may be available depending on the garment and the nature of the adjustment required.

9.2. Alterations requested because of incorrect measurements supplied by the Customer may attract additional charges.

9.3. Alterations requested because of a manufacturing error attributable to the Company will be considered separately and may be performed without additional charge where appropriate.

9.4. Alterations requested after the Customer has accepted the garment as completed may attract additional charges.

10. PRICES

10.1. All prices shall be communicated in Nigerian Naira (₦), unless otherwise stated.

10.2. Prices may vary according to:

  • fabric type;
  • quantity;
  • garment design;
  • size or complexity;
  • embellishment;
  • embroidery;
  • tailoring requirements;
  • urgency;
  • delivery location;
  • alterations; and
  • other requested services.

10.3. The applicable price shall be the price communicated and accepted at the time of the transaction, subject to any clearly stated conditions.

10.4. Where applicable, taxes, delivery charges, alteration charges, rush-production charges or other additional costs shall be disclosed before the Customer becomes committed to the transaction.

10.5. We reserve the right to change our prices for future orders without affecting orders already accepted at a confirmed price.

11. PAYMENTS

11.1. Payment may be made through the payment methods communicated by the Company.

11.2. Depending on the nature of the order, the Company may require:

  • full payment before production;
  • a deposit before production begins; or
  • full payment before delivery or collection.

11.3. A deposit does not necessarily constitute full payment for the order.

11.4. Production may not commence until the required deposit has been received and confirmed.

11.5. The balance of an order must be paid within the period specified by the Company.

11.6. The Company reserves the right to withhold delivery or collection of completed goods until all outstanding amounts have been paid, subject to applicable law.

11.7. Customers should retain payment receipts, transaction references and order confirmations.

12. DEPOSITS AND CUSTOM ORDERS

12.1. Deposits paid towards custom-made products may be applied to materials, labour and production costs associated with the Customer's order.

12.2. Where a Customer cancels a custom order after production or procurement has commenced, the Company may deduct reasonable costs already incurred, subject to applicable consumer-protection law.

12.3. Nothing in this clause is intended to exclude any refund or other right that cannot lawfully be excluded.

12.4. The applicable cancellation and refund terms shall be communicated to the Customer before or at the time the order is accepted.

13. DELIVERY

13.1. The Company may offer delivery through its own delivery arrangements or through independent third-party logistics providers.

13.2. Delivery charges shall be communicated to the Customer before dispatch where reasonably practicable.

13.3. Delivery times provided by the Company are estimates unless expressly stated in writing as guaranteed.

13.4. Delivery may be delayed by circumstances outside the Company's reasonable control, including:

  • traffic;
  • weather;
  • public holidays;
  • courier delays;
  • industrial action;
  • security incidents;
  • government restrictions;
  • incorrect delivery information;
  • inability to contact the recipient; or
  • other events beyond the Company's reasonable control.

13.5. Customers are responsible for providing accurate delivery information, including:

  • recipient's name;
  • telephone number;
  • delivery address;
  • relevant landmarks; and
  • other information reasonably necessary for successful delivery.

13.6. Additional delivery charges may apply where a delivery fails because the Customer supplied incorrect information, was unavailable to receive the order, or requested a subsequent delivery attempt.

14. DELIVERY INSPECTION

14.1. Customers should inspect delivered products as soon as reasonably practicable.

14.2. If an item appears damaged, materially defective, incorrect or materially different from the order, the Customer should notify the Company promptly and provide photographs, videos or other reasonable evidence where requested.

14.3. The Company will investigate complaints and, where appropriate, provide a remedy in accordance with applicable law and these Terms.

15. RETURNS AND EXCHANGES

15.1. The Company aims to handle returns and exchanges fairly and transparently.

15.2. Subject to applicable law, an item may be eligible for return or exchange where:

  • the wrong product was supplied;
  • the product is defective;
  • the product is materially different from the description;
  • the Company otherwise accepts the return; or
  • applicable consumer-protection law provides a right to return.

15.3. Items returned for change-of-mind reasons may be subject to reasonable conditions, including that the item:

  • has not been worn;
  • has not been washed;
  • has not been altered;
  • remains in saleable condition;
  • has original tags where applicable; and
  • is returned within the period communicated by the Company.

15.4. Custom-made, personalised or altered garments may be subject to different return conditions because they have been produced specifically for an individual Customer.

15.5. However, custom-made goods that are defective, materially non-conforming or otherwise subject to a mandatory legal remedy shall be handled in accordance with applicable law.

15.6. The Company shall not use these Terms to unlawfully remove or restrict any consumer rights provided by Nigerian law.

16. REFUNDS

16.1. Where a refund is approved, the Company will communicate the applicable refund process and expected processing period.

16.2. Refunds may be made through the original payment method where practicable or through another reasonable method agreed with the Customer.

16.3. Where a third-party payment provider is involved, the timing of the refund may depend partly on that provider's processing procedures.

16.4. Where the Customer is entitled to a refund under applicable law, the Company shall process the refund in accordance with the applicable legal requirements.

16.5. The Company shall not unlawfully impose charges or deductions that are prohibited by applicable consumer-protection legislation.

17. CANCELLATION OF ORDERS

17.1. A Customer wishing to cancel an order should contact the Company as soon as possible.

17.2. Cancellation requests will be assessed based on the status of the order.

17.3. Orders that have not entered production may be easier to cancel than orders for which materials have already been purchased or production has commenced.

17.4. Custom-made orders may be subject to reasonable deductions for costs already incurred, subject to applicable law.

17.5. Where the law gives a Customer a right to cancel an order or obtain a refund, nothing in this clause limits that right.

18. SPECIAL EVENTS AND URGENT ORDERS

18.1. Customers ordering garments for weddings, birthdays, parties, ceremonies, corporate events or other fixed-date occasions should place orders sufficiently in advance.

18.2. Customers should communicate the required date of use when placing an order.

18.3. Where an urgent or "rush" order is accepted, an additional rush-production fee may apply.

18.4. Acceptance of a rush order does not guarantee completion by a particular date unless the Company expressly confirms the date in writing.

18.5. The Company shall communicate material delays to the Customer as soon as reasonably practicable.

19. CUSTOMER RESPONSIBILITY FOR APPROVALS

19.1. Where the Customer is given an opportunity to approve a design, sketch, measurement, sample, fabric, colour, embroidery pattern or other specification, the Customer should carefully review the information before approval.

19.2. Once the Customer approves a design or specification, production may proceed based on that approval.

19.3. Changes after approval may result in additional charges or delays.

20. PRODUCT CARE

20.1. Customers are responsible for following the care instructions supplied with garments or fabrics.

20.2. Where care instructions are provided, failure to follow them may affect the appearance, durability or condition of the product.

20.3. The Company shall not be responsible for damage caused by improper washing, ironing, bleaching, drying, storage, alteration or other misuse after delivery or collection.

20.4. Customers should seek professional cleaning where a garment's care instructions recommend it.

21. QUALITY STANDARDS

21.1. The Company aims to provide products of satisfactory quality and services performed with reasonable care and skill.

21.2. Some handmade or bespoke products may contain minor variations consistent with their design, materials and production method.

21.3. Such reasonable variations shall not automatically constitute defects.

21.4. Where a product has a genuine manufacturing defect, the Company will assess the issue and provide an appropriate remedy in accordance with applicable law.

22. CUSTOMER COMPLAINTS

22.1. Customers are encouraged to contact the Company directly as soon as they identify an issue.

22.2. A complaint should, where possible, include:

  • Customer's name;
  • order number or receipt;
  • date of purchase;
  • description of the issue;
  • photographs or other evidence where relevant; and
  • the remedy requested.

22.3. The Company shall review complaints fairly and communicate the outcome within a reasonable period.

23.5. Further information should be provided in the Company's separate Privacy Policy.

23.6. Customers should not provide unnecessary sensitive personal information when placing an order.

24. CUSTOMER PHOTOGRAPHS AND SOCIAL MEDIA

24.1. The Company shall not assume that a Customer's photograph, image, testimonial or personal information may automatically be used for advertising merely because the Customer purchased a product.

24.2. Where the Company wishes to use identifiable customer photographs, videos, testimonials or other personal content for marketing purposes, appropriate permission or another lawful basis shall be obtained as required by applicable law.

24.3. Customers may contact the Company regarding withdrawal or modification of any marketing consent where applicable.

25.2. Customers may not reproduce, copy, modify, distribute, sell or commercially exploit Company-owned intellectual property without prior written permission.

25.3. A Customer's purchase of a garment does not automatically transfer ownership of the Company's intellectual-property rights in the underlying design, pattern, artwork, branding or production method.

26. CUSTOMER-SUPPLIED DESIGNS

26.1. Where a Customer supplies a photograph, drawing, logo, artwork, pattern or other design, the Customer represents that they have the right to provide that material to the Company for the requested purpose.

26.2. The Customer shall be responsible for obtaining any permissions or licences required for third-party intellectual property supplied by the Customer.

28.1. The Company shall not be responsible for delays or inability to perform caused by events reasonably outside its control.

28.2. Such events may include natural disasters, severe weather, fire, flooding, epidemic or pandemic-related restrictions, civil unrest, government action, power disruptions, transport disruption, supplier failure, security incidents, strikes or other similar circumstances.

28.3. Where such an event occurs, the Company will take reasonable steps to notify affected Customers and minimise the impact.

29. LIMITATION OF LIABILITY

30.2. Nothing in these Terms is intended to remove, restrict or waive a consumer right that cannot lawfully be removed, restricted or waived.

30.3. Where a provision of these Terms is found to be unlawful or unenforceable, that provision shall be interpreted or severed to the extent necessary, without automatically invalidating the remaining provisions.
